Financial Structuring of the Export Deal for the Supply of CRUDE SUNFLOWE ROIL, HS Code 15121191

INTER AGRI TRADE has received a request from a foreign plant engaged in the extraction, refining, and bottling of oilseeds for the supply of 12,000 tons of crude hashtag#sunfloweroil in 2025, for further processing and sale to the end customer.
The foreign importer’s conditions under the export contract include:Deferred payment terms of 60 days or moreAdvance paymentMonthly payments for the oil actually sold
The foreign partner has been offered to contract, through the Estonian SPV INTERAGRI TRADE OÜ, a supply volume of 3,000 tons and to fix deliveries under the following terms:
First shipment of 1,000 tons scheduled for June 2025
Delivery basis: CIF
The contract price on the signing date is defined by the formula: price CIF + 2%
If the market price moves beyond the agreed ±2% range, the parties adjust the price
Currency of payment is fixed in EUR
20% Advance from the importer based on the contract value, of which: 100% of the received advance will be used by the exporter to cover customs, banking, brokerage, logistics, insurance, and other costs related to the execution of the export contract, acting as working capital for the exporter.
80% of the remaining contract value is allocated as follows:For 100% of the remaining contract amount, the Estonian SPV will receive from a reliable foreign bank of the importer an inbound 100% irrevocablerevolving 12-month letter of credit LC covering regular monthly deliveries, with payment deferral of 60+ days after shipment.
This LC is advised and confirmed by a Ukrainian bank in favor of the Ukrainian sunfloweroil producer, as it is transferable, under which the SPV (the initial beneficiary) transfers the right to receive funds under the LC to a third party - the Ukrainian sunfloweroil producer.
The Ukrainian producer ships the oil from its plant to the importer’s plant, via the Estonian SPV, which acts as the primary payer under the contract and the beneficiary of the LC.
The Ukrainian bank, upon shipment of the oil by the sunflower oil producer to the importer, acceptance of the LC documents by the foreign bank, and confirmation of the payment date, makes a foreign currency payment to the producer in advance of the actual due date under the contract and before payment is received from the foreign bank for the respective shipped lot.
On the date of currency receipt from the foreign bank, the Ukrainian bank allocates part of the funds to repay the advance payment issued to the sunflower oil producer, and the remaining part is transferred to the Estonian SPV - the payer under the contract and the LC beneficiary.

Financial Structuring of an Export Deal for the Supply of Refined Soybean Oil (HSCode 15079090)

The Ukrainian company INTER AGRI TRADE received a request from the authorized representative of the importing company AELIUS TEHO for the supply of 15000 metric tons of refined soybean oil in 2025.
The payment terms under the export contract proposed by the foreign importer are:Advance payment by T/T (Telegraphic Transfer)For the remaining balance – provision of an Irrevocable Letter of Credit (LC)
The foreign partner was offered to initially contract the first shipment of 4500 metric tons through INTERAGRI TRADE OÜ, an Estonian non-resident company controlled by the Ukrainian company INTER AGRI TRADE, and to fix the delivery schedule. This volume constitutes 30% of the original import request, and the transaction is to be structured under the following conditions:

The Indian government has almost completed the sale of wheat from state reserves, having sold 2.97 million tons out of the planned 3 million tons.
